Company acknowledges that in connection with this application, it may receive or have access to confidential and proprietary information of NSA, including but not limited to the Endorsement Agreement and the process involved in NSA endorsing a Company’s product (“NSA Confidential Information”). The Company agrees to maintain the confidentiality of such NSA Confidential Information and not disclose it to any third party without the prior written consent of NSA. Notwithstanding the foregoing, the Company may disclose NSA Confidential Information to Company’s accountant, financial advisor, or legal counsel provided that such disclosure is made solely for the purpose of obtaining professional advice and that the recipient is bound by confidentiality obligations at least as restrictive as those contained herein. Due Diligence

PLEASE READ CAREFULLY and have an authorized Company representative sign the application on behalf of the Company prior to submission of the application:

In considering Company’s application for NSA’s endorsement of the above-identified product (the “Product”), NSA’s Endorsement Committee will conduct and/or cause third party investigative research companies to conduct, certain due diligence on the Company and Product, including a review of the information provided by Company in or in connection with this application and a public record database search of various matters, such as but not limited to criminal, bankruptcy and civil ligtation searches, reputational searches of various publications, social media and product reviews/ratings and possibly regulatory agency searches. The Endorsement Committee will evaluate whether the Product may be beneficial to NSA’s members by aligning with thier needs and interests and NSA may solicit general feedback from its members in this regard. The Company agrees to provide NSA and its Endorsement Committee with all requested documentation, information, and access to the Product required for the due diligence process. Failure to cooperate fully with the due diligence process, or the provision of incomplete, false or inaccurate information, may result in a refusal to endorse or termination of any endorsement approval or endorsement agreement. NSA and its Endorsement Committee have no obligation to approve any application or endorse any product and reserve the right to decline or disapprove any application for endorsement in their sole and absolute discretion based on the due diligence results. *

Confidentiality

If there is any information provided by Company in or in connection with this application that constitutes non-public, proprietary and confidential information of Company, Company is obligated to prominently mark such information or materials with a confidentiality legend, i.e, CONFIDENTIAL INFORMATION OF (YOUR COMPANY NAME) such marked information is hereafter referred to as “Company Confidential Information”. NSA and its Endorsement Committee will maintain the confidentilaity of Company Confidential Information in the same manner in which they protect their own confidential information of like kind, but in no event less than reasonable care. NSA and its Endorsement Committee are permitted to use and disclose the Company Confidential Information to those of its officers, employees, contractors (including but not limited to third party invesgative research companies), representatives and agents as necessary for them to consider Company’s application, perform the due diligence activities described herein and perform their obligations hereunder or in connection with any agreements between Company and NSA relating to any NSA endorsement of the Product. NSA and the Endorsement Committee are also permitted to disclose Company Confidential Information as legally required in response to a court order, subpoena, administrative proceeding or similar legal process, provided that Company is given notice of the request. These confidentiality provisions do not apply to information that (i) is or becomes generally available or known to the public through no act or omission of NSA or its Endorsement Committee; (ii) was received by NSA or Endorsement Committee members lawfully from a third party through no breach of the confidentiality obligations herein; (iii) is developed independently by NSA or an Endorsement Committee member without use of Company Confidential Information; or (iv) was previously known by NSA or an Endorsement Committee member. The confidentiality obligations in this application shall terminate three (3) years after the date of the initial submission of this application to NSA.

Company acknowledges that any endorsement approval of the Product does not constitute endorsement or approval of any other products or the Company as a whole. Each product must undergo its own separate application and evaluation process in accordance with the relevant guidelines and standards. *

Company acknowledges that its application will be reviewed in accordance with the relevant criteria and policies, and that approval or denial will be determined in the sole discretion of NSA and its Endorsement Committee. Company further understands that additional documentation or information may be required during the review process, and that submission of an application does not guarantee any outcome or entitlement. *

Company further acknowledges that payment of the application fee does not guarantee approval of the application. Company understands that NSA or an authorized member of NSA’s Endorsement Committee will inform Company applicant in writing whether its endorsement application has been approved or declined. Company acknowledges and understands that any notification by NSA or its Endorsement Committee of the receipt of the endorsement application does not constitute NSA’s endorsement of the appled-for Product, which endorsement will only occur and take effect upon the full execution by NSA and Company of (i) the Branding Buidelines for NSA’s Endorsement Agreement and (ii) NSA’s Endorsement Agreement. *
